Terms of Service

These Terms govern Sportual accounts, organization tools, groups, events, communication, payments, subscriptions, and connected commerce services.

1. Agreement and scope

Sportual is operated by Sublime Software LLC, doing business as Sportual (“Sportual,” “we,” “us,” or “our”). These Terms apply to our websites, mobile applications, and related services (the “Services”).

By creating an account or selecting an action that clearly states you agree, you enter into a binding agreement with us. If you use the Services for an organization, you confirm that you have authority to bind that organization. The Privacy Notice describes data processing and is acknowledged separately; it is not converted into a contractual warranty by these Terms.

2. Eligibility, minors, and dependent profiles

You must be at least 13 to operate your own Sportual account and old enough to consent to online services under the law where you live. If you are under the age of legal majority, a parent or guardian must review and agree to these Terms for you. Where local law requires parental authorization at a higher age, that law controls.

Dependent profiles are records managed by an authorized adult or organization administrator; they are not standalone child accounts. The adult creating or managing a dependent profile confirms that they are the parent, legal guardian, or otherwise authorized to provide the information and permissions involved. A child under 13 may not directly operate an account unless Sportual has expressly enabled an age-appropriate experience with the legally required parental process.

3. Accounts and security

Provide accurate information, keep your login methods secure, and promptly notify support@sportualapp.com of suspected unauthorized access. You are responsible for activity performed through your account unless caused by our failure to use reasonable security. You may not sell, share, or transfer an account without our written permission.

4. Organizations, administrators, and members

Organizations and their administrators are independent users of the Services, not Sportual employees or agents. Administrators control membership, permissions, schedules, communications, fees, and certain records within their organization. They must have authority to invite users, manage dependent profiles, publish content, collect fees, and configure integrations.

An organization is responsible for its own rules, safeguarding, staffing, tax obligations, refunds, waivers, insurance, and compliance with laws that apply to its activities. Sportual may provide tools and support, but does not supervise or endorse an organization merely because it uses the Services.

5. Events, activities, and safety

Physical activities may involve risk of injury, illness, property damage, or death. Review the organizer’s description, rules, qualifications, venue conditions, and required waivers before participating. Use your own judgment and obtain professional or medical advice when appropriate.

Sportual provides coordination technology and ordinarily is not the organizer, venue operator, coach, healthcare provider, or participant. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability arising from our own fraud, willful misconduct, or other non-excludable conduct.

6. Event, membership, and organization payments

Prices, currencies, recurring terms, platform or processing fees, and the party receiving payment are shown before purchase. Stripe and other payment providers process payment credentials under their own terms. Sportual generally facilitates payments for organizers and may collect disclosed platform fees.

The cancellation and refund terms displayed at checkout or in the relevant event, membership, or organization listing apply. Organizers are responsible for honoring their published terms and applicable consumer law. Sportual may automatically initiate a refund when a supported workflow removes a paid attendee or cancels an eligible activity. A refund of one membership payment does not by itself cancel future recurring payments; the membership or mandate must also be canceled through the available flow.

Banks and payment providers control settlement timing. Processing and platform fees may be nonrefundable when permitted by law and disclosed before purchase. Mandatory consumer refund rights always prevail.

7. Sportual subscriptions

Paid Sportual plans renew for the period shown at purchase unless canceled before renewal. Plans bought through Apple or Google must be managed through that store; web plans must be managed through the web billing flow. Canceling stops future renewal but does not ordinarily refund the current period, except where required by law or the applicable store policy. Features, limits, and prices may change prospectively after reasonable notice.

8. Merchandise and third-party commerce

Organizations may connect third-party catalogs such as TeamPrinted. The checkout identifies available products, prices, shipping, and fulfillment information. The applicable seller or fulfillment provider is responsible for product descriptions, inventory, manufacture, delivery, returns, and product warranties. Sportual facilitates the interface and payment workflow unless checkout expressly identifies Sportual as the seller.

Third-party commerce terms and mandatory consumer rights apply in addition to these Terms. Contact the seller or fulfillment provider first for product and delivery issues; Sportual support can assist with platform or payment-routing issues.

9. User content and permissions

You retain ownership of content you submit. You grant Sportual a worldwide, non-exclusive, royalty-free license to host, copy, process, adapt for technical display, transmit, and display that content only as needed to operate, secure, improve, and provide the Services according to your audience and privacy settings. For content you deliberately make public, the license also permits us to display and share that public content within and in connection with the Services.

We will not sell private messages, dependent-profile content, or private organization content as creative assets. We may use public content to promote the Services only where the context reasonably indicates that use or where we obtain permission. The license ends when content is deleted, except for limited backup retention, legal obligations, content shared by others, and copies necessary to establish or defend legal claims.

10. Acceptable use and moderation

You must follow our Community and Child Safety Standards. Do not use the Services for illegal conduct, exploitation, harassment, fraud, dangerous activity, unauthorized surveillance, intellectual-property infringement, security attacks, spam, or collection of data without authority.

We may review reports, restrict distribution, preserve evidence, remove content, suspend features, or terminate accounts when reasonably necessary for safety, legal compliance, or enforcement. We aim to explain significant moderation decisions and provide an appeal channel where appropriate. We may report suspected child exploitation or other unlawful activity to the relevant authorities.

11. Sportual intellectual property

The Services, software, designs, trademarks, and documentation belong to Sportual or its licensors. We give you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not reverse engineer, bypass security or usage limits, scrape at scale, copy the product, or use our marks without permission, except to the extent applicable law does not allow that restriction.

If you believe content on Sportual infringes copyright, email support@sportualapp.com with the subject “Copyright Notice” and include: your physical or electronic signature; identification of the copyrighted work; the specific content and location to be removed; your contact information; a good-faith statement that the use is not authorized; and a statement, under penalty of perjury, that the notice is accurate and you are authorized to act. We may forward the notice to the affected user and may terminate repeat infringers. A counter-notice should identify the removed content, state under penalty of perjury that removal resulted from mistake or misidentification, provide contact information and consent to applicable federal-court jurisdiction and service, and include a signature.

12. Privacy and data roles

Our Privacy Notice explains our processing. Organizations may separately control member, dependent, attendance, and organization records. When an organization determines why and how that information is used, direct organization-specific privacy requests to that organization; Sportual will support valid requests as required by law and applicable agreements.

13. Service changes and availability

We work to keep the Services available and secure, but do not promise uninterrupted or error-free operation. We may update, replace, suspend, or discontinue features for security, legal, technical, or business reasons. If a change materially reduces a paid service during a prepaid period, we will provide the remedy required by applicable law.

14. Suspension, termination, and deletion

You may stop using Sportual and request account deletion. We may suspend or terminate access for material or repeated violations, safety threats, fraud, nonpayment, legal requirements, or risk to the Services. Where appropriate, we will provide notice and an opportunity to appeal.

Deletion removes or de-identifies active account data subject to organization-controlled records, transaction and tax records, fraud and security records, legal claims, safeguarding obligations, content involving other users, and backup cycles. The Privacy Notice and deletion page provide more detail.

15. Disclaimers and limits of liability

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Sportual disclaims implied warranties that may lawfully be disclaimed. We are not responsible for independent organizers, participants, venues, products, or third-party services.

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, exemplary, or consequential losses that were not reasonably foreseeable. Sportual’s aggregate liability arising from the Services will not exceed the greater of US $100 or the amount you paid Sportual during the twelve months before the event giving rise to the claim. These limits do not apply to fraud, willful misconduct, gross negligence where it cannot be limited, death or personal injury caused by legally actionable negligence, privacy or data-protection liability that cannot be limited, or mandatory consumer remedies.

16. Disputes and governing law

Contact support@sportualapp.com first so we can try to resolve a dispute informally. These Terms are governed by Arizona law, without regard to conflict-of-law rules, but this choice does not remove mandatory rights available where you reside. Unless mandatory law permits you to sue elsewhere, disputes that are not resolved informally will be brought in the state or federal courts serving Maricopa County, Arizona.

17. Changes to these Terms

We may update these Terms. For material changes, we will provide reasonable advance notice through the Services, email, or another appropriate channel and request renewed acceptance when required. Changes apply prospectively from the stated effective date. Continued use alone will not waive any acceptance requirement imposed by law.
